Terms of Use
These Terms of Use ("Terms") form a legally binding agreement ("Agreement") between you, whether as an individual or on behalf of a company ("User") and Tarfion Ltd, Griva Digeni, 59, Kaimakliotis Building, 5th Floor, 6043 Larnaca, Cyprus.
These Terms of Use (the “Terms”) govern your access to and use of QR Set, QR-code creation and management tools, dashboards, redirect infrastructure, analytics, hosted files, integrations and related services (collectively, the “Service”).
By creating an Account, starting a trial, purchasing a Subscription, or otherwise using the Service, you agree to these Terms and to the policies incorporated by reference, including our Privacy Policy and Subscription Policy. Additional terms shown at checkout, or in a specific feature may also apply to that transaction or feature. If you do not agree, do not use the Service.
IMPORTANT NOTICE. This Service includes subscriptions that automatically renew, including subscriptions for recurring delivery of products, where offered. Please read these Terms carefully before starting a trial or completing a purchase for our auto-renewing subscription service. To avoid being charged, you must affirmatively cancel your subscription before the end of the trial or then-current subscription period. When purchasing a subscription that automatically renews, you agree to its auto-renewal nature and to its terms defined near the point of purchase and acknowledge that to avoid charges you would need to affirmatively cancel it.
1. Definitions

“Account” means the user account through which you access or manage the Service.

“Content” means URLs, files, text, images, logos, contact details, metadata, destination settings and other material that you submit, upload, configure or connect to a QR Code.

“Static QR Code” means a QR code that directly encodes its destination or payload and ordinarily cannot be changed after export.

“Direct Purchase” means a purchase processed by our payment processors.

“Subscription” means paid access that continues for a stated billing period and, where disclosed, renews automatically until cancelled.

“User” means an individual or entity that accesses or uses the Service.
2. Eligibility and authority
You must be at least 18 years old and legally capable of entering into a binding contract. If you use the Service on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms. You may not use the Service where applicable law prohibits you from receiving or using it.
3. The Service
The Service may allow you to create, customize, store, organize, export, edit and manage QR Codes. Depending on the plan and platform, features may include dynamic redirects, scan analytics, folders, team access, bulk tools, landing pages, hosted files, custom domains, integrations or other functionality presented in the Service.
Features, usage limits and availability may differ by plan, platform, country, device or purchase channel. Material plan limits will be disclosed in the purchase flow, in the Account, or in another reasonably accessible product interface before they become relevant to your use.
We may test, add, modify or discontinue non-material features. If we materially reduce a core paid feature during a prepaid subscription period, we will provide any notice or remedy required by applicable law.
4. Static QR Codes
Static QR Codes generally continue to function independently after export because the destination or payload is encoded in the QR image itself. We ordinarily cannot edit a Static QR Code after it has been created, and we do not control the continued availability, legality or security of the destination selected by you.
5. Accounts and security
You must provide accurate information, keep it reasonably current, protect your credentials and authentication methods, and notify our Support Team at [email protected] if you suspect unauthorized access. You are responsible for activity under your Account to the extent permitted by law.
We may require verification, refuse registration or restrict access where we reasonably suspect fraud, abuse, security compromise, duplicate or automated Accounts, or materially inaccurate information. Any verification must be proportionate to the risk and handled in accordance with our Privacy Policy.
6. Payments and Refunds
Paid plans and Subscriptions. Certain features of the Service may require payment or an auto-renewing Subscription. Before you confirm a purchase, we will disclose the material transaction terms, including the price, currency, billing period, whether the Subscription renews automatically, any trial or introductory offer, the renewal price. Additional details concerning recurring billing, renewals, trials, price changes and cancellation are set out in the Subscription Policy.
Payment processing and taxes. You must pay the price and applicable taxes shown before purchase. Your bank or payment provider may impose currency-conversion, international-transaction or other fees that are not charged by us.
Refunds for Direct Purchases. Except where these Terms, a purchase-specific guarantee or applicable law provides otherwise, charges for Direct Purchases are generally non-refundable once processed, and cancellation affects future renewals only.
7. Licence to use the Service
Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable and revocable right to access and use the Service for its intended personal or business purposes during the applicable access period.
8. Your Content and licence to us
You retain ownership of your Content. You grant us a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, process, transmit, display and technically modify your Content only as reasonably necessary to provide and maintain the Service, including to generate QR Codes, provide analytics, prevent abuse and maintain backups.
You represent that you have all rights, permissions, notices and lawful bases necessary to submit, use and direct us to process the Content. You remain responsible for the destination, claims, data collection, offers, products and services linked through your QR Codes and for compliance with applicable intellectual-property, privacy, advertising, consumer-protection, accessibility and other laws.
9. Acceptable use
You may not use the Service or any QR Code to create, host, link to, promote, facilitate or distribute unlawful, fraudulent, deceptive, infringing, exploitative, malicious or materially harmful content or activity.

phishing, credential theft, malware, malicious redirects or technical compromise;

impersonation, fraud, scams, deceptive affiliation claims or misleading destination masking;

unauthorized collection, sale, disclosure or tracking of personal data;

spam, unlawful direct marketing or abusive automated traffic;

child sexual exploitation or abuse material, sexual exploitation of minors, or grooming;
-
illegal goods or services, sanctions evasion or other unlawful transactions;
-
incitement of violence, credible threats or instructions intended to facilitate serious wrongdoing;
-
infringement of intellectual property or other third-party rights;
-
evasion of plan limits, access controls, security measures or enforcement actions; or
-
conduct that materially interferes with the Service, another user, or a third-party system.
We may investigate reports, block destinations, disable QR Codes, limit features, preserve relevant records, or suspend or terminate Accounts where reasonably necessary to enforce these Terms, protect users or third parties, comply with law, or address security or abuse. Where appropriate and lawful, we will provide notice and an opportunity to appeal or cure.
10. Third-party destinations and services
QR Codes may direct scanners to websites, files, apps, payment pages or other resources controlled by you or third parties. Unless expressly stated, we do not endorse or control those destinations and are not responsible for their content, availability, security, transactions, terms or privacy practices. You are responsible for providing any notice and obtaining any consent required for a destination or for data collection you control.
The Service may also interoperate with third-party platforms, authentication providers, payment processors or integrations. Their separate terms and privacy notices may apply to your use of those services.
11. Analytics
Where enabled, analytics may provide information about scans and related technical events, such as time, approximate location derived from IP address, device or browser characteristics, operating system, referring source and similar signals. Analytics may be affected by privacy tools, bots, caching, network routing, repeated scans, device settings and technical errors. Unless expressly stated otherwise, analytics are informational estimates and are not guaranteed to identify unique individuals or complete conversions.
12. Service limits and fair use
You must comply with limits disclosed for your selected plan. We may apply reasonable technical limits to protect security, performance, availability, cost and other users. If usage materially exceeds the selected plan or indicates abuse, we may request a plan change, restrict the affected feature or suspend access. We will not impose additional recurring fees that were not disclosed and authorized in accordance with applicable law.
13. Intellectual property
The Service, software, interfaces, documentation, branding, designs, systems and related intellectual property are owned by us. Except for the limited right to use the Service granted in these Terms, no intellectual-property rights are transferred to you.
Subject to third-party rights and these Terms, you may use the QR Code images and designs that you lawfully create and export. If you provide feedback, you grant us the right to use it without restriction or compensation.
14. Account deletion
You may stop using the Service at any time. Subscription cancellation and Account deletion are separate actions. Please note that cancelling a Subscription prevents future renewals but does not by itself delete your Account or Content. Deleting your Account does not cancel a subscription.
To delete your Account, you should contact our Support Team at [email protected]. We may retain limited information after deletion where required or permitted for legal obligations, fraud prevention, security, billing, dispute resolution or backups, as described in the Privacy Policy.
We may restrict, suspend or terminate access for material breach, non-payment, fraud, security risk, unlawful activity, repeated abuse, legal obligation or conduct that materially threatens the Service or others. Where reasonable and lawful, we will provide notice and an opportunity to remedy. Immediate action may be taken where needed for security, fraud, legal compliance or serious abuse.
15. Service availability and changes
The Service is provided over the internet and may be interrupted by maintenance, third-party failures, security events or circumstances outside our reasonable control. Any uptime commitment or service-credit remedy applies only if expressly stated in a separate service-level agreement.
We may change these Terms or the Service to reflect legal, security, technical or business changes. If a change materially disadvantages users of a paid ongoing service, we will provide advance notice where required by law and a reasonable opportunity to cancel before the change takes effect.
16. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY AND UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT EVERY QR CODE WILL SCAN ON EVERY DEVICE, SURFACE OR ENVIRONMENT, THAT EVERY DESTINATION WILL REMAIN AVAILABLE, OR THAT ANALYTICS WILL BE COMPLETE OR ERROR-FREE. NOTHING IN THESE TERMS EXCLUDES OR LIMITS ANY WARRANTY OR CONSUMER RIGHT THAT CANNOT LAWFULLY BE EXCLUDED.
17. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, QR SET AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, USE OR BUSINESS INTERRUPTION.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED $100. THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED, INCLUDING NON-WAIVABLE CONSUMER RIGHTS AND ANY OTHER LIABILITY FOR WHICH EXCLUSION OR LIMITATION IS PROHIBITED BY LAW.
18. Indemnity
To the extent permitted by law, you will indemnify and hold harmless QR Set and its affiliates, personnel, licensors and service providers from third-party claims and reasonable costs arising from your Content, QR Code destinations, unlawful use of the Service, material breach of these Terms or infringement of another person’s rights. This section does not apply to the extent a claim results from our own breach, negligence or misconduct where liability cannot lawfully be shifted to you.
19. Governing law and disputes
These Terms are governed by Cyprus, without regard to conflict-of-law rules.
To the extent that any dispute arising out of or in connection with this Agreement is not required to be resolved through arbitration, and subject to any mandatory provisions of applicable law, the courts of Cyprus shall have exclusive jurisdiction over such dispute.
Each party irrevocably submits to the jurisdiction of the courts of Cyprus and agrees that any proceedings falling within this provision shall be brought before those courts. To the fullest extent permitted by applicable law, each party waives any objection based on venue, inconvenient forum, or any similar procedural ground.
20. General terms
These Terms, the Privacy Policy, the Subscription Policy and the transaction-specific disclosures shown before purchase form the agreement concerning the Service. If a provision is unenforceable, it will be modified or severed only to the minimum extent necessary and the remaining provisions will continue. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with an affiliate reorganization, merger, financing or sale of the business, subject to applicable law. No partnership, agency, employment or joint venture is created.
